1. What the Platform Is — and Is Not

1.1. The Platform is an online classifieds and listing service that allows users to advertise aircraft for sale ("Listings") and allows other users to view Listings and contact sellers.

1.2. We are not a party to any transaction. We are not the seller or buyer of any listed aircraft. We do not act as a broker, dealer, agent, representative, auctioneer, escrow agent, or intermediary in any transaction between users, and nothing on the Platform constitutes an offer or acceptance by us. All negotiations, agreements, inspections, payments, and transfers occur directly between buyer and seller, on terms they alone determine.

1.3. We do not take aircraft on consignment, do not charge sale commissions, do not handle, hold, store, inspect, transport, or take possession of any aircraft, and are not bonded for the protection of buyers or sellers.

1.4. You are solely responsible for resolving any dispute you have with another user. We may, at our sole discretion, look into disputes to protect the Platform, but we have no obligation to do so.

2. Eligibility and Accounts

2.1. You may use the Platform only if you can form a binding contract and only in compliance with these Terms and all applicable laws. Use by anyone under 18 is prohibited.

2.2. If you register on behalf of a company, you represent that you are authorized to bind that company to these Terms.

2.3. Accounts are non-transferable. You are responsible for all activity under your account and for keeping your credentials secure.

2.4. We may suspend, restrict, or terminate any account at any time where we reasonably believe it is necessary to protect the Platform or other users, to prevent fraud, or to address a breach of these Terms.

3. Listings and Seller Responsibilities

3.1. By publishing a Listing, you represent and warrant that: (a) you are the owner of the aircraft or are duly authorized by the owner to offer it for sale; (b) all information in the Listing is accurate, current, and not misleading; (c) the Listing and its contents do not infringe any third party's rights; and (d) the sale of the aircraft is not prohibited by any applicable law, sanction, or court order.

3.2. You are solely responsible for the content of your Listings, including content produced with generative AI tools, and for updating or removing Listings when the aircraft is no longer available.

3.3. We may edit the presentation of, decline, or remove any Listing at our sole discretion, including Listings we suspect are inaccurate, infringing, unlawful, offensive, or otherwise unsuitable for the Platform.

3.4. Listing fees and storefront fees are non-refundable once a Listing is published, except where a payment was made in duplicate or in clear error.

4. Verification ("Verified" Badge)

4.1. We may, at our sole discretion, perform documentary checks intended to confirm that the person publishing a Listing is the registered owner of the aircraft or holds written authority from the owner to offer it for sale ("Verification"). Listings that pass this check may display a "Verified" badge.

4.2. Verification is limited in scope. It relates only to authority to sell at the time of the check. It is not a title search, records audit, airworthiness review, condition survey, valuation, or any assessment of the aircraft itself, and it is not a guarantee that a transaction will complete or that the seller's authority continues after the check.

4.3. Verification is a right we may exercise, not a duty we owe to any user. We make no warranty in connection with Verification and accept no liability arising from reliance on the badge. We may withhold, suspend, or revoke a badge at any time without notice.

4.4. Buyers remain solely responsible for their own due diligence, including title searches, pre-purchase inspections, records review, and use of independent professionals.

5. Acceptable Use

5.1. You may use the Platform solely to publish Listings or to view Listings and contact sellers about them. Using the Platform or contact details obtained through it to market unrelated products or services, to harvest data, or to harass other users is prohibited.

5.2. You must not: scrape, crawl, or bulk-extract Platform content or data; reverse-engineer the Platform; interfere with its operation or security; post false, deceptive, defamatory, or unlawful content; impersonate any person; or circumvent any access or fee mechanism.

5.3. We may report unlawful conduct to law enforcement and cooperate with authorities, including by disclosing your identity where legally required.

6. Content License

6.1. You retain ownership of the content you submit. You grant AeroMatch a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt, publish, translate, distribute, and display that content for the purposes of operating, promoting, and improving the Platform, including displaying Listings on partner or affiliate sites and in marketing materials.

6.2. This license continues for archived and historical data (e.g., market analytics) after a Listing ends, but we will cease active display of a Listing you delete.

7. Sanctions and Export Control

7.1. Aircraft transactions may be subject to export, re-export, and import controls and to economic sanctions administered by the UAE, the United States (including OFAC), the European Union, the United Kingdom, and other authorities. You are solely responsible for identifying and complying with all such laws in connection with any Listing or transaction.

7.2. You represent that you are not, and are not acting for, a person or entity that is subject to sanctions, located in a comprehensively embargoed territory, or otherwise blocked or denied by any relevant authority.

7.3. We may screen users and Listings against sanctions lists and may decline, suspend, or remove any Listing or account, and refuse any dealings, where we believe (in our sole discretion) that sanctions or export-control risk exists. We accept no liability for losses arising from such action or from the seizure, detention, or destruction of any aircraft by any authority.

8. Taxes

Buyers and sellers are exclusively responsible for determining, collecting, reporting, and remitting all taxes and duties associated with their transactions. We provide no tax advice.

9. Third-Party Services

9.1. The Platform may present links to or content about third-party providers of services such as pre-purchase inspections, escrow, insurance, financing, and aircraft management (the "Services Hub"). These providers are independent of AeroMatch. We may receive a fee from a provider when you engage them through the Platform.

9.2. Your dealings with any provider are solely between you and that provider, subject to their terms. We do not endorse, warrant, or accept any liability for any provider's services, acts, or omissions.

10. Intellectual Property and Notice-and-Takedown

10.1. The Platform, its software, design, branding, and content (other than user content) are owned by or licensed to AeroMatch and protected by applicable intellectual property laws.

10.2. If you believe content on the Platform infringes your rights, notify us at info@buyjet.aero with sufficient detail to identify the content and your rights. We will review and may remove content at our discretion. A notice must include: (a) identification of the work claimed to be infringed; (b) identification of the material claimed to be infringing and information reasonably sufficient to locate it on the Platform; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized by the rights owner, its agent, or the law; (e) a statement, under penalty of perjury, that the notice is accurate and that you are the rights owner or authorized to act for the owner; and (f) your physical or electronic signature.

11. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY LAW. WE ARE A PASSIVE CONDUIT FOR USER CONTENT AND COMMUNICATIONS. WE DO NOT VERIFY, AND MAKE NO REPRESENTATION OR WARRANTY REGARDING, THE ACCURACY OF ANY LISTING, THE CONDITION, AIRWORTHINESS, TITLE, OR VALUE OF ANY AIRCRAFT, THE IDENTITY OR RELIABILITY OF ANY USER, OR THE SAFETY OR COMPLETION OF ANY TRANSACTION.

12. Indemnity and Release

12.1. You will indemnify and hold harmless AeroMatch and its officers, directors, employees, and agents against any third-party claim (including reasonable legal fees) arising out of your breach of these Terms, your Listings or other content, your use of the Platform, or your violation of law or third-party rights.

12.2. In any dispute between you and another user, you release AeroMatch from all claims, demands, and damages of every kind arising out of or connected with that dispute.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW: (a) WE SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, BUSINESS, GOODWILL, OR DATA; AND (b) OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (i) USD 100 AND (ii) THE TOTAL FEES YOU PAID TO BUYJET IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Changes, Assignment, General

14.1. We may amend these Terms by posting the updated version on the Platform with a new "Last updated" date; material changes will be notified to registered users. Continued use after the effective date constitutes acceptance.

14.2. You may not assign these Terms. We may assign them to any affiliate or successor entity of AeroMatch Group DWC-LLC.

14.3. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remainder will remain in force. Our failure to enforce a provision is not a waiver. These Terms, with the documents referenced in them, are the entire agreement between you and us regarding the Platform. The English version prevails over any translation.

15. Governing Law and Disputes

These Terms are governed by the laws applicable in the Dubai South Free Zone and, as applicable, the Emirate of Dubai and the federal laws of the United Arab Emirates. Any dispute not resolved amicably shall be subject to the exclusive jurisdiction of the Dubai Courts. Nothing in this Section deprives you of any non-waivable rights or venue granted by mandatory consumer-protection law of your country of residence.
